Club Policies

Club Constitution

1. NAME

The club is a Company limited by Guarantee (“Maidenhead & Bray Cricket Club (1993) Ltd.”) and is known as “Maidenhead & Bray Cricket Club”. It is affiliated to the England and Wales Cricket Board through Berkshire County Cricket Club.

2. AIMS AND OBJECTIVES

The aims and objectives of the club can be summarised:

  • To offer competitive opportunities in cricket for playing Members of all ages;
  • To provide coaching and training in cricket for playing Members of all ages;
  • To provide appropriate amenities for playing and social Members to enjoy playing and/or watching cricket, and to arrange events for the enjoyment of all Members;
  • To promote the club within the local community;
  • To manage Maidenhead & Bray Cricket Club responsibly and to ensure that the facilities are maintained as the Members would wish;
  • To ensure a duty of care to all members of the club;
  • To provide all its services in a way that is fair to everyone;
  • To ensure that all present and future Members receive fair and equal treatment.

3. MEMBERSHIP

Membership consists of officers and Members of the Club. All Members are subject to the requirements of this constitution and by joining the Club are deemed to accept these requirements and the codes of conduct that the Club has adopted. Members may be enrolled in one of the following categories:

  • Senior playing member
  • Student playing member
  • Colt playing member
  • Social member
  • Life member

All members, other than Colts, are entitled to vote at the Annual General Meeting, at Extraordinary General Meetings, and in any circumstances when the Directors or the Committee deem it appropriate to hold a postal ballot.

3. MEMBERSHIP FEES

Membership fees will be set annually and agreed by the Management Committee or determined at the Annual General Meeting. Fees will be paid annually by May 1st or by periodic payments by mutual agreement.

5. OFFICERS OF THE CLUB

The officers of the Club comprise:

  • Chairman
  • Secretary
  • Treasurer
  • Fixtures Secretary

Any other relevant position which may be agreed from time to time. Officers will be elected annually at the Annual General Meeting.

All officers will retire each year but will be eligible for re-election.

4. COMMITTEE

Maidenhead & Bray Cricket Club, as a limited company, has three or more Directors who are elected from time to time at the AGM.

The Directors ensure that the Club is properly managed through the appointment of the Management Committee which consists of the Officers of the Club, and other Officers who may from time to time be elected; Directors may also be members of the Management Committee.

The Management Committee is convened by the Secretary of the Club roughly at monthly intervals throughout the season, and at such other times as may be appropriate between seasons. The quorum required for business to be agreed at Management Committee meetings is 3 including at least one of the Chairman/Secretary/ Treasurer, and at least one director of the Limited Company.

The Management Committee is responsible for adopting new policies, codes of conduct, and rules that affect the organization and running of the Club. The Management Committee has powers to appoint sub-committees as necessary and appoint advisers to the Management Committee as necessary to fulfil its business.

The Management Committee is responsible for disciplinary hearings of members who infringe the Club rules/regulations/constitution.

The Management Committee is responsible for taking any action of suspension or discipline following such hearings.

7. FINANCE

All Club monies are banked in one or more accounts held in the name of the Club. The Club Treasurer is responsible for the finances of the club. The financial year of the club ends on March 31st each year, unless this is altered at an Annual General Meeting.

A statement of annual accounts will be presented by the Treasurer at each Annual General Meeting; these accounts are reviewed annually by a qualified accountant. Any cheques drawn against Club funds must hold the signatures of two approved signatories.

8. ANNUAL GENERAL MEETINGS

Notice of the Annual General Meeting (AGM) will be given by the Club Secretary. Not less than 21 clear days’ notice will be given in writing to all Members. The AGM will receive a report from officers of the Management Committee and a statement of the reviewed accounts.

Nominations for officers of the Management Committee will be sent to the Secretary prior to the AGM. Election of officers and of Directors is to take place at the AGM.

All members, except Colts, have the right to vote at the AGM and at other general meetings. The constitution will only be changed through agreement by majority vote at an AGM or EGM.

The quorum for AGMs will be 10% of the paid-up membership, excluding the Colts. The Management Committee has the right to call Extraordinary General Meetings (EGMs) outside the AGM. Procedures for EGMs will be the same as for the AGM.

9. DISCIPLINE AND APPEALS

All complaints regarding the behaviour of members should be submitted in writing to the Secretary. The Management Committee will meet to hear complaints within 13 days of a complaint being lodged. The Committee has the power to take appropriate disciplinary action including the termination of membership.

The outcome of a disciplinary hearing should be notified in writing to the person who lodged the complaint and the Member against whom the complaint was made within 13 days of the hearing. There is a right of appeal to the Management Committee following disciplinary action being announced. The Committee should consider the appeal within 28 days of the Secretary receiving the appeal.

10. DISSOLUTION

A resolution to dissolve the Club can only be passed at an AGM or EGM through a majority vote of the Membership. Postal and/or proxy voting is required for such a resolution. In the event of dissolution, any assets of the Club that remain will disposed of by the Committee in the best interests, in order of precedence, of Club creditors, Club Members, Maidenhead & Bray Sports Club.

11. DECLARATION

Maidenhead & Bray Cricket Club hereby adopts and accepts this constitution as a current operating guide regulating the actions of members.
